EXCLUSIVE LICENSE AGREEMENT FOR INSTRUMENTAL BEAT
This Exclusive License Agreement ("Agreement") is entered into on [Date of purchase, by and between:

Grant of License:
Licensor hereby grants to Licensee an exclusive license (the "License") to use, reproduce, distribute, and publicly perform the instrumental beat described above (the "Beat") for the purpose of creating a new musical composition.
Scope of Use:
This exclusive license grants Licensee the exclusive right to use the Beat for the creation of a new musical composition. Licensee has the exclusive right to distribute, perform, and sell the new musical composition in any medium, including but not limited to digital downloads, streaming, and physical copies.
Restrictions:
- This license is exclusive and may not be sub-licensed, sold, or otherwise transferred to any third party without the express written consent of the Licensor.
- Licensee may not alter, edit, or modify the Beat, except for the purpose of creating the new musical composition.
- Licensor retains all rights not expressly granted in this Agreement.
Payment:
In consideration for the rights granted herein, Licensee agrees to pay Licensor the sum of [Agreed Amount of purchase] as a one-time fee. Payment shall be made to BEATTRADER INC immediately of the effective date of this Agreement.
Credit and Promotion:
Licensee agrees to credit Licensor as the original creator of the Beat in any and all media in which the new musical composition is used or distributed. Licensee also agrees to provide a copy of the final new musical composition to Licensor for promotional purposes.
Term of Agreement:
This Agreement shall be effective as of the date first above written and shall continue for a period of unlimited time, unless terminated by either party with written notice.
Termination:
Either party may terminate this Agreement in the event of a material breach by the other party. Upon termination, all rights granted to Licensee under this Agreement shall immediately cease.
Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of California USA
Entire Agreement:
This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, understandings, or agreements, whether oral or written.
IN WITNESS WHEREOF, the parties hereto have executed this Exclusive License Agreement as of the Effective Date.

Licensee automatically agrees to the above terms as soon as payment is received from buyer.
